IDEAL Holdings S.A. (the “Company”) announces that on 15.09.2022 received the relevant notifications of significant changes in voting rights, by the following obliged persons:
With their relevant notifications, the above mentioned parties informed the Company that on 15.09.2022 following the 15.09.2022 Share Transfer Agreement due to a contribution in kind of the "PIRAEUS BANK S.A." in the capital of “STRIX Holdings L.P.” the transfer of 2,481,468 shares issued by the Company was registered in the Dematerialized Securities System (DSS) kept by "HELLENIC CENTRAL SECURITIES DEPOSITORY S.A." to the company “STRIX Holdings L.P.”, incorporated and operating under the laws of Ireland and legally represented by the General Partner of “STRIX HOLDINGS (GP) LIMITED”, a private capital company incorporated in Ireland with its registered office in Dublin.
Pursuant to the said transfer, "PIRAEUS BANK S.A." fell short of the limit of 5% of the Company's total voting rights and now owns 0.0024% of them, by virtue of pledge agreements and the company “STRIX HOLDINGS L.P.” directly holds 2,481,468 voting rights attached in shares of the Company, which correspond in total to a percentage of 7.8839% of the total voting rights of the Company (including the voting rights attached in the shares held by the Company).
«STRIX Holdings L.P.» is indirectly controlled by “BLANTYRE CAPITAL (CAYMAN) LTD” a company with registered seat in Cayman Islands, through the following chain of undertakings STRIX HOLDINGS (GP) LIMITED, STRIX ASSET MANAGEMENT LIMITED, LIKOMA HOLDINGS LIMITED, BLANTYRE SPECIAL SITUTATIONS FUND II ICAV, BLANTYRE SPECIAL SITUTATIONS FUND II LP, BLANTYRE FUND II GP LIMITED.
“BLANTYRE CAPITAL (CAYMAN) LTD” is controlled by Mr. MUBASHIR MUKADAM.
“Piraeus Bank S.A.” is controlled by “Piraeus Financial Holdings S.A.” a company listed in the Athens Stock Exchange.
This announcement is issued pursuant to Law 3556/2017 articles 9,10,14 and 21.
